Welcome to Softingy Technologies ("Softingy", "Company", "we", "our", or "us"). These Terms and Conditions govern your access to and use of our website, applications, software, SaaS platforms, APIs, AI-powered solutions, mobile applications, web applications, digital products, automation tools, scripts, consulting services, and any other products or services provided by Softingy Technologies.

By accessing, browsing, purchasing, or using any of our products or services, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions. If you do not agree with these Terms, you must discontinue use of our services immediately.

1. Eligibility

3. User Accounts

Certain services may require account registration. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • Notify us immediately of any unauthorized access.
  • Ensure information associated with your account remains accurate.
  • Accept responsibility for activities performed through your account.

4. Acceptable Use

5. Intellectual Property Rights

All software, applications, source code, websites, mobile applications, SaaS platforms, AI solutions, scripts, APIs, databases, graphics, designs, documentation, templates, logos, trademarks, digital assets, and other intellectual property developed, delivered, or provided by Softingy Technologies remain the exclusive property of Softingy Technologies unless expressly transferred through an official written Copyright or Ownership Transfer Agreement.

The delivery of source code, project files, deployment, hosting access, compiled applications, server credentials, repositories, downloadable files, or any project component shall not be considered a transfer of ownership, copyright, licensing, or intellectual property rights.

Copyright, ownership, licensing, commercial usage rights, redistribution rights, modification rights, resale rights, and all other intellectual property rights shall remain exclusively with Softingy Technologies until ALL of the following conditions have been satisfied:

  • Full payment of all invoices, milestones, installments, and outstanding balances has been received.
  • All contractual obligations have been fulfilled.
  • Softingy Technologies has issued an official written Copyright and Ownership Transfer document.

Payment alone does not automatically transfer ownership or copyright. Unless an official written transfer document has been issued by Softingy Technologies, all copyrights and intellectual property rights shall remain solely owned by Softingy Technologies.

If any invoice, milestone, installment, additional charge, maintenance fee, or other payment remains unpaid or overdue, the client shall not obtain any ownership rights regardless of whether the project has been delivered, deployed, published, or made accessible.

Softingy Technologies expressly reserves all copyrights, intellectual property rights, ownership rights, licensing rights, and legal remedies, including but not limited to issuing DMCA Takedown Notices, Copyright Infringement Claims, Cease and Desist Notices, License Revocation, Suspension of Services, Removal Requests, and any other legal actions permitted under applicable intellectual property laws.

6. Custom Development Projects

For custom software, website, mobile application, SaaS, AI, and development projects:

  • Project scope shall be defined through quotations, proposals, contracts, or written agreements.
  • Delivery timelines are estimates unless otherwise guaranteed in writing.
  • Additional features outside agreed scope may incur additional charges.
  • Client delays may impact project schedules.
  • Ownership of source code shall remain subject to these Terms unless otherwise agreed in writing.

Unless explicitly transferred in writing, Softingy Technologies retains ownership of all reusable frameworks, proprietary libraries, internal systems, templates, development methodologies, algorithms, automation systems, utilities, and development tools.

Projects delivered before final payment shall be considered licensed for temporary evaluation or limited operational use only. Such delivery does not transfer ownership or copyrights. Any unauthorized copying, resale, modification, redistribution, publication, commercial use, or reuse before official ownership transfer may constitute copyright infringement.

7. Payments and Billing

Payments may be processed through approved payment providers including banks, Stripe, PayPal, and other authorized processors.

  • Invoices must be paid according to agreed payment terms.
  • Late payments may result in suspension of services.
  • Projects may be paused until outstanding balances are cleared.
  • All fees are non-refundable unless otherwise stated in a separate Refund Policy.
  • Outstanding payments automatically suspend any transfer of ownership or intellectual property rights.
  • Full copyright, ownership, licensing, and commercial rights shall only transfer after complete payment has been received and an official written Copyright/Ownership Transfer document has been issued by Softingy Technologies.
  • Until such written transfer is provided, Softingy Technologies reserves all ownership rights and may issue DMCA Takedown Notices, Copyright Claims, or pursue any other available legal remedies against unauthorized use, modification, publication, deployment, resale, or redistribution of the project.

8. SaaS Services and Subscriptions

Certain products may operate under subscription-based billing.

  • Subscriptions may renew automatically.
  • Pricing may change with prior notice.
  • Failure to pay may result in account suspension.
  • Users are responsible for exporting data before cancellation.

9. Artificial Intelligence Services

Softingy Technologies may provide AI-powered services including AI agents, chatbots, automation systems, content generation tools, and machine learning solutions.

Users acknowledge that AI-generated outputs may contain inaccuracies, omissions, or errors and should be independently reviewed before use.

Softingy Technologies shall not be liable for decisions made based upon AI-generated outputs.

10. Third-Party Services

Our services may integrate with third-party providers including:

  • OpenAI
  • Firebase
  • Supabase
  • AWS
  • Cloudflare
  • Vercel
  • GitHub
  • Payment Processors

We are not responsible for the availability, security, functionality, or policies of third-party providers.

11. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information, source code, credentials, trade secrets, project documentation, business records, and other confidential information disclosed during service engagements.

12. Data Protection

Our handling of personal information is governed by our Privacy Policy. By using our services, you consent to the collection, processing, and storage of information as described therein.

13. Service Availability

While we strive to maintain uninterrupted availability, we do not guarantee continuous access to our services. Services may be interrupted due to maintenance, security updates, technical failures, or circumstances beyond our control.

14. Limitation of Liability

To the fullest extent permitted by law, Softingy Technologies shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Lost profits
  • Business interruption
  • Loss of data
  • Loss of business opportunities
  • Service downtime

Our total liability shall not exceed the amount paid by the customer for the affected service during the preceding twelve months.

15. Termination

We reserve the right to suspend or terminate access to any service at our sole discretion if:

  • These Terms are violated.
  • Fraudulent activity is detected.
  • Security risks are identified.
  • Required by law.
  • Outstanding payments remain unpaid.

16. Changes to These Terms

We reserve the right to update, revise, or replace these Terms at any time. Updated versions will be published on our website and become effective upon publication.

17. Governing Law

These Terms shall be governed by applicable laws and regulations governing Softingy Technologies operations.
